The Company:
The Investors Registry (TIR) is a private membership organization for accredited investors.
TIR identifies private and public companies that are poised for exponential growth, conducts due diligence on these prospects, then assists the companies in structuring their investment offerings for formal submission to its membership. Since it’s inception in 2007, TIR’s membership base has grown to over 750 members. To date, TIR’s membership and affiliates have participated in eight different funding transactions. It is the goal of The Investors Registry to introduce 4 to 6 pre-IPO offerings and/or strategic investment opportunities to its Members annually.
The Strategy:
TIR has created a membership service designed to maximize the potential for higher returns. This is accomplished via a simple strategy: The introduction of a series of diversified, quality investment opportunities with low minimum buy-ins and transparent commissions. (TIR receives NO commissions from Member transactions)
Keys to success:
- Transaction Criteria: TIR identifies private and public companies with proprietary products, technologies, patents and/or business models; and a proven management team. These companies typically have products or services that are established in the marketplace and are generating revenues. Transaction structures include Pre-IPO investments, bridge loans for public
- Due Diligence: TIR’s seasoned team & partners con- duct “forensic” due diligence on prospect companies prior to approving them for a potential transaction. This due diligence includes a rigorous background evaluation of management, an intellectual property
- review (patents), a thorough financial review (from burn rate to pro-forma), a business model feasibility study, a valuation review (comparing current value to asset break-up value), and a competitive analysis to determine the viability & acceptance of the company’s products in the marketplace.
- Expertise: TIR’s team has extensive executive and funding experience throughout a broad range of industries. TIR’s team has participated in over $3.5 billion in capital transactions and more than 300 public offerings.
- Exit Strategy: TIR members are able to lift restrictions and deposit shares for liquidation in the open market with various stockbrokers.
